Οι εταιρικοί μετασχηματισμοί επιτρέπουν σε μία επιχείρηση να αλλάξει νομική και οργανωτική δομή χωρίς να απαιτείται κατ’ ανάγκη η αποσπασματική μεταβίβαση κάθε περιουσιακού στοιχείου. Ο ν. 4601/2019 προβλέπει τρεις βασικές κατηγορίες: συγχώνευση, διάσπαση και μετατροπή. Στο πλαίσιο της διάσπασης διακρίνονται η κοινή διάσπαση, η μερική διάσπαση και η απόσχιση κλάδου. Η επιλογή μεταξύ τους επηρεάζει καθοριστικά ποια εταιρεία συνεχίζει να υπάρχει, πού μεταφέρεται ο επιχειρηματικός κλάδος, ποιος λαμβάνει τις συμμετοχές της νέας ή επωφελούμενης εταιρείας, αλλά και τον τρόπο με τον οποίο μπορεί να οργανωθεί ένα carve-out, η είσοδος επενδυτή ή μία μελλοντική πώληση επιχειρηματικής δραστηριότητας.
Μία επιχείρηση μπορεί να φθάσει σε ένα σημείο όπου η υφιστάμενη εταιρική της δομή δεν εξυπηρετεί πλέον τη στρατηγική της.
Μπορεί να έχει αναπτύξει δύο ή περισσότερες διαφορετικές δραστηριότητες. Μπορεί να θέλει να απομονώσει έναν τεχνολογικό κλάδο από την παραδοσιακή της δραστηριότητα. Μπορεί να εξετάζει την είσοδο επενδυτή μόνο σε ένα συγκεκριμένο προϊόν. Μπορεί να επιδιώκει πώληση συγκεκριμένου business unit, αναδιάρθρωση ενός ομίλου, συνένωση εταιρειών ή δημιουργία νέας θυγατρικής.
Σε όλες αυτές τις περιπτώσεις, το κρίσιμο ερώτημα δεν είναι απλώς:
«Πώς μεταβιβάζουμε τα assets;»
Το πραγματικό ερώτημα είναι:
«Ποια εταιρική δομή θέλουμε να υπάρχει μετά τη συναλλαγή;»
Εδώ ακριβώς βρίσκεται η πρακτική σημασία των εταιρικών μετασχηματισμών.
Ο ν. 4601/2019 δημιούργησε ένα ενιαίο βασικό πλαίσιο εταιρικού δικαίου για τους μετασχηματισμούς και ορίζει ότι εταιρείες με έδρα στην Ελλάδα μπορούν να υποβληθούν ή να συμμετάσχουν σε συγχώνευση, διάσπαση ή μετατροπή. Οι σχετικές διατάξεις έχουν, κατ’ αρχήν, χαρακτήρα αναγκαστικού δικαίου, εκτός αν ο ίδιος ο νόμος ορίζει διαφορετικά.
Αυτό είναι σημαντικό: ο εταιρικός μετασχηματισμός δεν αποτελεί απλώς μία ελεύθερη συμβατική κατασκευή μεταξύ των εμπλεκομένων. Πρόκειται για θεσμοθετημένη εταιρική διαδικασία, με συγκεκριμένες προϋποθέσεις, εταιρικές αποφάσεις, δημοσιότητα, προστασία πιστωτών και έννομα αποτελέσματα.
Ο νόμος έχει ευρύ πεδίο εφαρμογής.
Στα υποκείμενα που μπορούν να συμμετέχουν περιλαμβάνονται, μεταξύ άλλων, οι Ανώνυμες Εταιρείες, οι Εταιρείες Περιορισμένης Ευθύνης, οι Ιδιωτικές Κεφαλαιουχικές Εταιρείες και οι Ομόρρυθμες Εταιρείες, ενώ το άρθρο 2 συνεχίζει με πρόσθετες εταιρικές μορφές.
Η πρακτική σημασία είναι μεγάλη: το καθεστώς των μετασχηματισμών δεν αφορά μόνο μεγάλες εισηγμένες ή πολυεθνικές επιχειρήσεις. Μπορεί να χρησιμοποιηθεί και για την αναδιοργάνωση μη εισηγμένης Α.Ε., οικογενειακής επιχείρησης, Ι.Κ.Ε. ή ευρύτερης εταιρικής δομής, εφόσον πληρούνται οι ειδικότερες προϋποθέσεις του νόμου.
Ο ν. 4601/2019 ξεκινά από τρεις βασικούς μηχανισμούς:

Για τη συγκεκριμένη σειρά άρθρων, το ιδιαίτερο ενδιαφέρον βρίσκεται στη δεύτερη κατηγορία: τη διάσπαση.
Και αυτό γιατί η διάσπαση δεν είναι μία ενιαία πράξη.
Ο ίδιος ο νόμος την χωρίζει σε τρεις πολύ διαφορετικούς μηχανισμούς:
κοινή διάσπαση – μερική διάσπαση – απόσχιση κλάδου.
Η διάκριση αυτή δεν είναι θεωρητική. Μπορεί να αλλάξει πλήρως το αποτέλεσμα μιας εταιρικής αναδιάρθρωσης.
Η συγχώνευση μπορεί να γίνει είτε με απορρόφηση είτε με σύσταση νέας εταιρείας.
Στη συγχώνευση με απορρόφηση, μία ή περισσότερες εταιρείες μεταβιβάζουν σε υφιστάμενη απορροφώσα εταιρεία το σύνολο των περιουσιακών στοιχείων και υποχρεώσεών τους, λύονται χωρίς να τεθούν σε εκκαθάριση και οι μέτοχοι ή εταίροι τους αποκτούν εταιρικές συμμετοχές στην απορροφώσα εταιρεία, με τις ειδικότερες προϋποθέσεις που προβλέπει ο νόμος.
Από την καταχώριση της συγχώνευσης στο Γ.Ε.ΜΗ., η απορροφώσα εταιρεία υποκαθίσταται ως καθολική διάδοχος στο σύνολο των δικαιωμάτων, υποχρεώσεων και εν γένει έννομων σχέσεων των απορροφώμενων εταιρειών, συμπεριλαμβανομένων, κατά το νομοθετικό κείμενο, των σχετικών διοικητικών αδειών.
Στη συγχώνευση δεν «κόβουμε» έναν κλάδο από μία επιχείρηση.
Ενοποιούμε εταιρικές δομές.
Αντίθετα, όταν μία εταιρεία θέλει να απομονώσει μία συγκεκριμένη δραστηριότητα, η διάσπαση —και ιδίως η μερική διάσπαση ή η απόσχιση κλάδου— μπορεί να αποτελεί καταλληλότερο εργαλείο.
Η κοινή διάσπαση είναι η πιο «ριζική» μορφή διάσπασης.
Μπορεί να πραγματοποιηθεί με απορρόφηση, με σύσταση νέων εταιρειών ή με συνδυασμό των δύο. Στην κοινή διάσπαση με απορρόφηση, η διασπώμενη εταιρεία λύεται χωρίς να τεθεί σε εκκαθάριση και μεταβιβάζει το σύνολο των περιουσιακών στοιχείων και υποχρεώσεών της στις επωφελούμενες εταιρείες. Οι εταιρικές συμμετοχές των επωφελούμενων εταιρειών αποδίδονται στους μετόχους ή εταίρους της διασπώμενης εταιρείας.
Άρα, στη βασική της λογική:
η παλιά εταιρεία παύει να αποτελεί την εταιρική οντότητα μέσα στην οποία παραμένει η επιχειρηματική δραστηριότητα.
Η περιουσία της κατανέμεται στις επωφελούμενες εταιρείες.
Η μερική διάσπαση λειτουργεί διαφορετικά.
Η διασπώμενη εταιρεία δεν λύεται.
Μεταβιβάζει έναν ή περισσότερους κλάδους δραστηριότητας σε μία ή περισσότερες επωφελούμενες εταιρείες, ενώ οι εταιρικές συμμετοχές των επωφελούμενων εταιρειών διατίθενται στους μετόχους ή εταίρους της διασπώμενης εταιρείας.
Αυτό το τελευταίο στοιχείο είναι κεφαλαιώδους σημασίας.
Η μερική διάσπαση μπορεί να απομονώσει μία δραστηριότητα από την αρχική εταιρεία, αλλά η νέα ownership structure δημιουργείται απευθείας στο επίπεδο των μετόχων/εταίρων.
Έστω ότι μία Α.Ε. διαθέτει δύο δραστηριότητες:
Business A: παραδοσιακές συμβουλευτικές υπηρεσίες
Business B: πλατφόρμα τεχνολογίας.
Αν το Business B μεταφερθεί με μερική διάσπαση σε νέα εταιρεία, οι συμμετοχές της νέας εταιρείας αποδίδονται, σύμφωνα με τη δομή του άρθρου 56, στους μετόχους της αρχικής εταιρείας.
Άρα η νέα εταιρεία μπορεί να βρεθεί δίπλα στην αρχική εταιρεία σε επίπεδο ownership.
Και εδώ αρχίζουμε ήδη να βλέπουμε τη θεμελιώδη διαφορά με την απόσχιση κλάδου.
Η απόσχιση κλάδου είναι, από επιχειρηματική σκοπιά, ένας από τους πιο ενδιαφέροντες μηχανισμούς του ν. 4601/2019.
Η αρχική εταιρεία δεν λύεται.
Μεταβιβάζει έναν ή περισσότερους κλάδους δραστηριότητας σε μία ή περισσότερες επωφελούμενες εταιρείες.
Η μεγάλη διαφορά είναι ότι οι εταιρικές συμμετοχές της επωφελούμενης εταιρείας δεν αποδίδονται στους μετόχους της διασπώμενης.
Αποδίδονται στην ίδια τη διασπώμενη εταιρεία.
Αυτό αλλάζει όλη τη δομή.
Η αρχική εταιρεία μπορεί πλέον να γίνει μέτοχος της εταιρείας στην οποία μεταφέρθηκε ο κλάδος.
Με απλά λόγια:
Parent Company → New Subsidiary → Business Unit
Και για αυτό η απόσχιση κλάδου μπορεί να αποτελέσει ιδιαίτερα χρήσιμο εταιρικό εργαλείο σε οργανωτικά μοντέλα spin-off ή carve-out.
Δεν μπορεί οποιοδήποτε μεμονωμένο asset να βαφτιστεί αυθαίρετα «κλάδος».
Το άρθρο 54 δίνει συγκεκριμένο ορισμό.
Κλάδος δραστηριότητας είναι το σύνολο στοιχείων τόσο του ενεργητικού όσο και του παθητικού, τα οποία αποτελούν, από οργανωτική άποψη, αυτόνομη εκμετάλλευση, ικανή να λειτουργήσει αυτοδύναμα.
Αυτή η διάταξη είναι θεμελιώδης.
Σημαίνει ότι πριν από οποιαδήποτε απόσχιση ή μερική διάσπαση πρέπει να απαντηθεί:
Υπάρχει πραγματικά οργανωμένος επιχειρηματικός κλάδος ή απλώς θέλουμε να μεταφέρουμε επιλεγμένα assets;
Η απάντηση μπορεί να κρίνει ολόκληρη τη νομική δομή του μετασχηματισμού.
Αν κάποιος θέλει να κρατήσει μόνο ένα πράγμα από αυτό το άρθρο, είναι το εξής:

Ακριβώς αυτή τη διάκριση θα αναλύσουμε πλήρως στο Άρθρο 3 της σειράς: «Μερική Διάσπαση ή Απόσχιση Κλάδου;»
Το άρθρο 70 προβλέπει ότι με την καταχώριση της διάσπασης στο Γ.Ε.ΜΗ. επέρχονται αυτοδίκαια τα αποτελέσματά της και οι επωφελούμενες εταιρείες καθίστανται καθολικοί διάδοχοι στη μεταβιβαζόμενη περιουσία. Στην κοινή διάσπαση η καθολική διαδοχή αφορά ολόκληρη την περιουσία, ενώ στη μερική διάσπαση και στην απόσχιση κλάδου αφορά τον καθορισμένο κλάδο δραστηριότητας.
Αυτό είναι μία από τις σημαντικότερες πρακτικές διαφορές έναντι μιας απλής συμβατικής μεταβίβασης assets.
Σε μία κλασική asset deal απαιτείται συχνά να εξετάζεται χωριστά:
σύμβαση προς σύμβαση, δικαίωμα προς δικαίωμα, υποχρέωση προς υποχρέωση και άδεια προς άδεια.
Ο εταιρικός μετασχηματισμός λειτουργεί σε διαφορετική νομική βάση: η μεταβίβαση πραγματοποιείται μέσω του θεσμού της εταιρικής διαδοχής που προβλέπει ο ίδιος ο νόμος.
Αυτό όμως δεν σημαίνει ότι επιτρέπεται να αγνοηθούν ειδικές κανονιστικές, συμβατικές ή αδειοδοτικές απαιτήσεις. Για κάθε συγκεκριμένο κλάδο απαιτείται due diligence ως προς ειδικές άδειες, συμβάσεις, regulatory approvals και τυχόν ειδικούς κανόνες.
Η διάσπαση συντελείται με την καταχώριση της σύμβασης διάσπασης στο Γ.Ε.ΜΗ., σύμφωνα με τη διαδικασία που προβλέπει ο νόμος.
Από την καταχώριση επέρχονται αυτοδίκαια και ταυτόχρονα τα προβλεπόμενα έννομα αποτελέσματα μεταξύ των εταιρειών αλλά και έναντι τρίτων.
Πριν όμως φτάσουμε εκεί, προηγείται οργανωμένη διαδικασία.
Ενδεικτικά, ο νόμος απαιτεί το σχέδιο σύμβασης διάσπασης να καταχωρίζεται στο Γ.Ε.ΜΗ. και να δημοσιεύεται τουλάχιστον έναν μήνα πριν από την εταιρική απόφαση έγκρισής του.
Η αναλυτική διαδικασία θα αποτελέσει το Άρθρο 4 της σειράς: «Απόσχιση Κλάδου Βήμα προς Βήμα».
Ο εταιρικός μετασχηματισμός δεν μπορεί να αντιμετωπίζεται μόνο ως συμφωνία μεταξύ εταιρείας και μετόχων.
Ο νόμος προβλέπει ειδικούς μηχανισμούς προστασίας των πιστωτών.
Υπό τις προϋποθέσεις του άρθρου 65, πιστωτές προγενέστερων μη ληξιπρόθεσμων απαιτήσεων μπορούν να ζητήσουν κατάλληλες εγγυήσεις, εφόσον αποδεικνύουν ότι η οικονομική κατάσταση που προκύπτει λόγω της διάσπασης καθιστά αναγκαία την προστασία αυτή και δεν διαθέτουν ήδη επαρκείς εγγυήσεις.
Επιπλέον, το νομοθετικό πλαίσιο προβλέπει, υπό συγκεκριμένες προϋποθέσεις, μηχανισμό εις ολόκληρον ευθύνης των λοιπών επωφελούμενων εταιρειών και, στη μερική διάσπαση ή στην απόσχιση κλάδου, και της ίδιας της διασπώμενης εταιρείας, με τα όρια που θέτει ο νόμος. Οι σχετικές απαιτήσεις κατά των εις ολόκληρον ευθυνόμενων εταιρειών υπόκεινται στην ειδική πενταετή παραγραφή που προβλέπεται στη διάταξη.
Άρα:
η απόσχιση ενός κλάδου δεν αποτελεί αυτομάτως μηχανισμό εξαφάνισης παλαιών liabilities.
Αυτό θα είναι ένα από τα βασικά θέματα του πέμπτου άρθρου.
Εδώ αρχίζει η πραγματικά στρατηγική διάσταση του θεσμού.
Ας υποθέσουμε ότι μία εταιρεία διαθέτει:
Core Business A και ένα ταχέως αναπτυσσόμενο Technology Product B.
Ο επενδυτής ενδιαφέρεται αποκλειστικά για το Product B.
Η απευθείας επένδυση στη μητρική μπορεί να σημαίνει ότι ο επενδυτής αποκτά οικονομική έκθεση και στα δύο businesses.
Μία απόσχιση κλάδου μπορεί —εφόσον ο Product B αποτελεί κατά νόμο αυτοτελή κλάδο και πληρούνται όλες οι λοιπές προϋποθέσεις— να δημιουργήσει διαφορετική δομή:
Existing Company
↓
New/Beneficiary Company
↓
Product B
Η αρχική εταιρεία λαμβάνει τις συμμετοχές της επωφελούμενης εταιρείας.
Στη συνέχεια μπορεί να εξεταστεί σε χωριστό transaction η είσοδος επενδυτή στη νέα εταιρεία.
Αυτό δεν σημαίνει ότι κάθε επενδυτικό carve-out πρέπει να γίνει με απόσχιση κλάδου. Η επιλογή εξαρτάται από cap table, φορολογία, contracts, regulatory matters, liabilities, IP, employees, financing και investment terms.
Αλλά ο μηχανισμός προσφέρει μία σημαντική δυνατότητα:
να προηγηθεί εταιρικός διαχωρισμός του business και να ακολουθήσει η επενδυτική συναλλαγή.
Παρόμοια λογική μπορεί να εφαρμοστεί και όταν η τελική στρατηγική δεν είναι η άντληση κεφαλαίων αλλά η πώληση.
Αν ένα business unit βρίσκεται ήδη μέσα σε ξεχωριστή εταιρική οντότητα, μία μελλοντική συναλλαγή μπορεί να δομηθεί, ανάλογα με τις περιστάσεις, ως μεταβίβαση εταιρικών συμμετοχών αντί για μεταβίβαση δεκάδων μεμονωμένων στοιχείων ενεργητικού.
Αυτό μπορεί να διευκολύνει τη συναλλακτική αρχιτεκτονική.
Δεν καταργεί όμως το due diligence.
Αντίθετα, καθιστά ακόμη σημαντικότερο τον σωστό «καθαρισμό» του κλάδου πριν από την απόσχιση:
τι ακριβώς ανήκει στον κλάδο, ποιες συμβάσεις, ποιο IP, ποια δεδομένα, ποιες υποχρεώσεις, ποιο προσωπικό και ποιες εκκρεμείς διαφορές πρέπει να τον ακολουθήσουν;
Δεν υπάρχει μία μορφή που είναι γενικά «καλύτερη».
Η σωστή δομή προκύπτει από το τελικό επιχειρηματικό αποτέλεσμα που επιδιώκεται.

Η τελευταία επιλογή δεν μπορεί να γίνει μόνο από έναν πίνακα. Απαιτεί συνδυασμένο εταιρικό, φορολογικό, λογιστικό και συμβατικό έλεγχο.
Ο ν. 4601/2019 ρυθμίζει τον εταιρικό πυρήνα του μετασχηματισμού.
Η φορολογική αντιμετώπιση αποτελεί χωριστό —και εξαιρετικά κρίσιμο— επίπεδο ανάλυσης.
Το νομοθετικό υλικό που εξετάζουμε παραπέμπει αφενός στον ν. 4935/2022 για κίνητρα ανάπτυξης επιχειρήσεων μέσω συνεργασιών και εταιρικών μετασχηματισμών και αφετέρου ρητά στα άρθρα 47 επ. του ν. 5162/2024 για το νεότερο πλαίσιο φορολογικών κινήτρων μετασχηματισμών.
Επομένως, δεν είναι ασφαλές να θεωρείται ότι:
«αφού ένας μετασχηματισμός επιτρέπεται εταιρικά, είναι αυτομάτως και φορολογικά ουδέτερος».
Πρόκειται για δύο επίπεδα που πρέπει να εξετάζονται παράλληλα.
Το θέμα αυτό θα αναλυθεί χωριστά στο Άρθρο 5 της σειράς, ώστε να μη συγχέεται το εταιρικό επιτρεπτό με τη φορολογική μεταχείριση.
Η ουσιαστική αξία του ν. 4601/2019 είναι ότι παρέχει στην επιχείρηση μία εργαλειοθήκη αναδιοργάνωσης.
Ένας σωστά σχεδιασμένος μετασχηματισμός μπορεί να εξυπηρετήσει:
αναδιοργάνωση ομίλου → απομόνωση επιχειρηματικού κινδύνου → δημιουργία θυγατρικής → είσοδο επενδυτή → succession planning → separation business units → προετοιμασία sale → consolidation εταιρειών.
Αλλά η ίδια ευελιξία δημιουργεί και κινδύνους.
Αν ο μετασχηματισμός σχεδιαστεί από το τέλος προς την αρχή —δηλαδή αφού έχει ήδη συμφωνηθεί με επενδυτή ή αγοραστή τι «θα μεταφερθεί»— μπορεί να εμφανιστούν προβλήματα σε συμβάσεις, εργαζομένους, IP, regulatory approvals, εγγυήσεις, χρηματοδοτήσεις ή liabilities.
Η ορθή σειρά είναι διαφορετική:
Business Objective → Legal Structure → Tax Analysis → Asset & Liability Mapping → Documentation → Implementation → Post-Closing.
Πριν επιλεγεί συγχώνευση, μερική διάσπαση ή απόσχιση κλάδου, ο νομικός έλεγχος πρέπει να απαντήσει τουλάχιστον στα εξής:
Αυτές οι ερωτήσεις είναι στην πραγματικότητα σημαντικότερες από την ερώτηση «ποια μορφή προβλέπει ο νόμος;».
Οι εταιρικοί μετασχηματισμοί δεν είναι απλώς τεχνικές εταιρικού δικαίου.
Είναι εργαλεία σχεδιασμού της ίδιας της επιχειρηματικής αρχιτεκτονικής.
Η συγχώνευση επιτρέπει τη συγκέντρωση εταιρικών δομών. Η κοινή διάσπαση μπορεί να οδηγήσει σε πλήρη κατανομή της περιουσίας μιας εταιρείας. Η μερική διάσπαση επιτρέπει τη μεταφορά κλάδου ενώ οι συμμετοχές της επωφελούμενης αποδίδονται στους μετόχους ή εταίρους. Η απόσχιση κλάδου επιτρέπει επίσης τη μεταφορά αυτοτελούς επιχειρηματικού κλάδου, αλλά οι συμμετοχές της επωφελούμενης αποδίδονται στην ίδια τη διασπώμενη εταιρεία.
Αυτή η τελευταία διάκριση μπορεί να καθορίσει εάν μετά τον μετασχηματισμό θα έχουμε δύο αδελφές εταιρείες υπό τους ίδιους μετόχους ή μία μητρική εταιρεία με θυγατρική.
Και όταν ο στόχος είναι carve-out, είσοδος επενδυτή, οργανωτική απομόνωση προϊόντος ή προετοιμασία μελλοντικής συναλλαγής, η διαφορά αυτή μπορεί να αποδειχθεί καθοριστική.

Corporate transformations allow a business to change its legal and organisational structure without necessarily requiring the individual transfer of each asset. Greek Law 4601/2019 provides for three main categories: merger, demerger and conversion. Within the framework of demergers, the law distinguishes between full demerger, partial demerger and spin-off of a business branch.
The choice between these structures fundamentally affects which company continues to exist, where the relevant business activity is transferred, who receives the shares or other equity interests in the new or beneficiary company, and how a carve-out, investor entry or future sale of a specific business activity may be structured.
A business may reach a point where its existing corporate structure no longer serves its strategic objectives.
It may have developed two or more distinct business activities. It may wish to separate a technology division from its traditional operations. It may seek an investor specifically for one product. It may be considering the sale of a particular business unit, a group restructuring, the combination of companies or the creation of a new subsidiary.
In all these cases, the crucial question is not simply:
“How do we transfer the assets?”
The real question is:
“What corporate structure do we want to have after the transaction?”
This is precisely where the practical importance of corporate transformations lies.
Greek Law 4601/2019 established a unified core corporate-law framework for transformations and provides that companies having their registered office in Greece may undergo or participate in a merger, demerger or conversion.
This is important: a corporate transformation is not merely a contractual arrangement freely devised between the parties involved. It is a statutory corporate procedure subject to specific requirements, corporate approvals, publicity requirements, creditor protection mechanisms and legal consequences.
The law has a broad scope of application.
The entities that may participate include, among others, Sociétés Anonymes (A.E.), Limited Liability Companies (E.P.E.), Private Companies (I.K.E.) and General Partnerships (O.E.), together with additional corporate forms specified by Article 2 of Law 4601/2019.
The practical significance is considerable: the corporate transformations regime is not relevant only to large listed companies or multinational enterprises.
It may also be used for the reorganisation of an unlisted A.E., a family business, an I.K.E. or a wider corporate structure, provided that the specific statutory requirements are satisfied.
Law 4601/2019 starts from three fundamental mechanisms:

For the purposes of this series of articles, the second category — demergers — is of particular interest.
This is because a demerger is not a single, uniform transaction.
The law itself divides it into three distinct mechanisms:
full demerger – partial demerger – spin-off of a business branch.
This distinction is not merely theoretical.
It can fundamentally alter the outcome of a corporate restructuring.
A merger may take place either by absorption or through the incorporation of a new company.
In a merger by absorption, one or more companies transfer all of their assets and liabilities to an existing absorbing company, are dissolved without entering into liquidation, and their shareholders or partners receive shares or other equity interests in the absorbing company, subject to the specific requirements laid down by law.
Upon registration of the merger with the General Commercial Registry (G.E.MI.), the absorbing company succeeds, by way of universal succession, to all rights, obligations and legal relationships of the absorbed companies, including, according to the statutory framework, the relevant administrative licences.
In a merger, we are not “cutting out” one business branch from a company.
We are combining corporate structures.
By contrast, where a company wishes to separate a particular business activity, a demerger — and particularly a partial demerger or a spin-off of a business branch — may constitute a more appropriate corporate tool.
A full demerger is the most radical form of demerger.
It may be carried out by absorption, through the incorporation of new companies, or through a combination of the two.
In a full demerger by absorption, the demerged company is dissolved without entering into liquidation and transfers all of its assets and liabilities to the beneficiary companies.
The shares or other equity interests in the beneficiary companies are allocated to the shareholders or partners of the demerged company.
Accordingly, in its basic structure:
the original company ceases to be the corporate entity within which the business activities remain.
Its assets and liabilities are distributed among the beneficiary companies.
A partial demerger operates differently.
The demerged company is not dissolved.
It transfers one or more business branches to one or more beneficiary companies, while the shares or other equity interests in the beneficiary companies are allocated to the shareholders or partners of the demerged company.
This final element is of fundamental importance.
A partial demerger may separate a business activity from the original company, but the new ownership structure is created directly at shareholder or partner level.
Suppose an A.E. carries on two business activities:
Business A: traditional consulting services
Business B: a technology platform.
If Business B is transferred to a new company by way of a partial demerger, the shares in the new company are allocated, in accordance with the structure of Article 56, to the shareholders of the original company.
The new company may therefore sit alongside the original company at ownership level.
This is where we begin to see the fundamental difference between a partial demerger and a spin-off of a business branch.
A spin-off of a business branch is, from a business perspective, one of the most interesting mechanisms available under Law 4601/2019.
The original company is not dissolved.
It transfers one or more business branches to one or more beneficiary companies.
The major difference is that the shares or other equity interests in the beneficiary company are not allocated to the shareholders of the demerged company.
They are allocated to the demerged company itself.
This changes the entire structure.
The original company may therefore become a shareholder of the company to which the business branch has been transferred.
In simple terms:
Parent Company → New Subsidiary → Business Unit
For this reason, a spin-off of a business branch may constitute a particularly useful corporate tool in spin-off or carve-out structures.
Not every individual asset can arbitrarily be characterised as a “business branch”.
Article 54 provides a specific definition.
A business branch is the totality of assets and liabilities which, from an organisational perspective, constitute an independent business operation capable of functioning by its own means.
This provision is fundamental.
It means that before any spin-off or partial demerger takes place, one question must be answered:
Is there genuinely an organised and autonomous business branch, or are we merely seeking to transfer selected assets?
The answer may determine the entire legal structure of the transformation.
If there is one point to retain from this article, it is this:

It is precisely this distinction that we will examine in detail in Article 3 of this series: “Partial Demerger or Spin-Off of a Business Branch?”
Article 70 provides that, upon registration of the demerger with G.E.MI., its legal effects occur automatically and the beneficiary companies become universal successors in respect of the transferred assets and liabilities.
In a full demerger, universal succession concerns the entire estate of the demerged company.
In a partial demerger and a spin-off of a business branch, it concerns the specific business branch identified in the demerger agreement.
This is one of the most important practical differences compared with a straightforward contractual asset transfer.
In a conventional asset deal, it is often necessary to examine separately:
each contract, each right, each obligation and each licence.
A corporate transformation operates on a different legal basis: the transfer takes place through the statutory mechanism of corporate succession.
This does not, however, mean that specific regulatory, contractual or licensing requirements may be disregarded.
For each particular business branch, due diligence is required in relation to special licences, contracts, regulatory approvals and any applicable sector-specific rules.
A demerger is completed upon registration of the demerger agreement with the General Commercial Registry (G.E.MI.), in accordance with the statutory procedure.
Upon registration, the legal effects provided for by law arise automatically and simultaneously both between the participating companies and vis-à-vis third parties.
Before reaching that point, however, an organised statutory procedure must be followed.
Among other requirements, the draft demerger agreement must be registered with G.E.MI. and published at least one month before the corporate decision approving it.

A corporate transformation cannot be treated merely as an agreement between the company and its shareholders.
The law provides specific creditor protection mechanisms.
Subject to the requirements of Article 65, creditors holding pre-existing claims that have not yet fallen due may request appropriate safeguards where they demonstrate that the financial position resulting from the demerger makes such protection necessary and that they do not already have adequate safeguards.
Furthermore, the statutory framework provides, under specific conditions, for joint and several liability of the other beneficiary companies and, in the case of a partial demerger or spin-off of a business branch, of the demerged company itself, subject to the limits prescribed by law.
Claims against companies that are jointly and severally liable are subject to the specific five-year limitation period provided by the relevant statutory provision.
Accordingly:
the spin-off of a business branch is not automatically a mechanism for making historic liabilities disappear.
This will be one of the central issues examined in Article 5.
This is where the genuinely strategic dimension of the mechanism becomes apparent.
Suppose a company operates:
Core Business A and a rapidly growing Technology Product B.
An investor is interested exclusively in Product B.
A direct investment into the parent company may mean that the investor acquires economic exposure to both businesses.
A spin-off of a business branch may — provided that Product B constitutes an autonomous business branch within the meaning of the law and all other requirements are satisfied — create a different structure:
Existing Company
↓
New / Beneficiary Company
↓
Product B
The original company receives the shares or other equity interests in the beneficiary company.
Investor entry into the new company may then be considered through a separate transaction.
This does not mean that every investment carve-out should be implemented through a spin-off of a business branch.
The appropriate structure depends on the cap table, tax treatment, contracts, regulatory matters, liabilities, intellectual property, employees, financing arrangements and investment terms.
However, the mechanism provides an important possibility:
the corporate separation of the business may take place first, followed by the investment transaction.
A similar approach may be relevant where the ultimate strategy is not capital raising but a sale.
If a business unit has already been placed within a separate corporate entity, a future transaction may, depending on the circumstances, be structured as a transfer of shares rather than as the transfer of numerous individual assets.
This may simplify the transactional architecture.
It does not eliminate due diligence.
On the contrary, it makes the proper “clean-up” and delineation of the business branch before the spin-off even more important:
Which assets belong to the branch? Which contracts? Which IP rights? Which data? Which liabilities? Which employees? Which pending disputes should follow it?
There is no single structure that is generally “better”.
The appropriate structure depends on the ultimate business outcome being pursued.

The final choice cannot be made simply by reference to a table.
It requires a combined corporate, tax, accounting and contractual analysis.
Law 4601/2019 governs the corporate-law core of the transformation.
Tax treatment constitutes a separate — and critically important — layer of analysis.
The legislative material examined for this series refers both to Law 4935/2022, concerning incentives for business development through collaborations and corporate transformations, and expressly to Articles 47 et seq. of Law 5162/2024 regarding the newer framework of tax incentives for corporate transformations.
It is therefore unsafe to assume that:
“because a transformation is permissible under corporate law, it is automatically tax-neutral.”
These are two distinct levels of analysis that must be examined in parallel.
This issue will be considered separately in Article 5 of the series, so that corporate-law permissibility is not confused with tax treatment.
The substantive value of Law 4601/2019 is that it provides businesses with a restructuring toolkit.
A properly designed corporate transformation may serve:
group restructuring → isolation of business risk → creation of a subsidiary → investor entry → succession planning → separation of business units → preparation for sale → consolidation of companies.
However, the same flexibility also creates risks.
If the transformation is designed backwards — for example, only after an investor or purchaser has already agreed what is supposedly going to be “transferred” — problems may arise in relation to contracts, employees, IP, regulatory approvals, guarantees, financing arrangements or liabilities.
The correct sequence is different:
Business Objective → Legal Structure → Tax Analysis → Asset & Liability Mapping → Documentation → Implementation → Post-Closing.
Before selecting a merger, partial demerger or spin-off of a business branch, the legal analysis should answer at least the following questions:
These questions are, in practice, more important than simply asking “which form does the law provide?”
Corporate transformations are not merely technical mechanisms of company law.
They are tools for designing the architecture of the business itself.
A merger allows corporate structures to be combined. A full demerger may result in the complete allocation of a company’s assets and liabilities. A partial demerger permits the transfer of a business branch while the equity interests in the beneficiary company are allocated to the shareholders or partners. A spin-off of a business branch also permits the transfer of an autonomous business branch, but the equity interests in the beneficiary company are allocated to the demerged company itself.
This final distinction may determine whether, after the transformation, there are two sister companies owned by the same shareholders or a parent company with a subsidiary.
Where the objective is a carve-out, investor entry, organisational separation of a product or preparation for a future transaction, that distinction may prove decisive.
